1. THE WEBSITES TERMS AND CONDITIONS OF USE Berkemeyer, Attorneys and Counselors (hereinafter “Berkemeyer”) will allow the use of Berkemeyer’s Webpage and its other Services (hereinafter the “Service”) available in the website: www.berke.com.py, subjected to the following Terms of Service (hereinafter “TOS”). By accessing and using this webpage, you signify that you agree to be bound by the terms and conditions of the Service. 2. USERS REGISTRATION AND PRIVACY POLICY You are required to register as a user in order to access the webpage and the Service. All visits shall be monitored, primarily to identify visitors’ interest areas. When completing the users registration form, you must provide all personal information or provide the organizations information, which will be required when indicated with an asterisk (*). All information provided will directly identify you as an organization, unless you voluntarily provide your personal data. In some cases, visiting organizations will be registered and Berkemeyer will be able to contact you to request suggestions on how improve the Service. Berkemeyer will offer you the possibility to indicate if you desire information of your interest be sent to you by email. You will receive a password and an account user name after the completion of the registration process. You are fully responsible for maintaining the security of your password and your account user name, for all use of your password and for any actions that take place using your account. Berkemeyer must be informed immediately of any unauthorized use of your account or on any another security violation. This will not imply in any way that Berkemeyer will assume any responsibility whatsoever. You hereby acknowledge and agree that Berkemeyer may gather certain information provided in the registration form, or other type of information, be personal or commercial, through the Service. Berkemeyer will not deliver this information to other third parties, exceptionally when obliged to do so by law or by means of legal actions where said information is considered relevant. In the event that you have provided with false, inexact or incomplete information, or in the event that Berkemeyer has reasonable motives to assume that said information is false, inexact or incomplete, Berkemeyer will have the right to suspend or terminate your membership to the Service. 3. COSTS Currently, Berkemeyer provides the Service free of cost, but reserves the right to modify this aspect if it believes to be appropriate, prior notification by this same mean. 4. AVAILABLE SERVICES All Services provided are posted in Berkemeyer’s website, when accessing the webpage. The Service is offered /rendered “in the current state/condition in which it is found” and “in the measure of its availability” 5. PROPERTY RIGHTS AND RESTRICTIONS You hereby acknowledge that Berkemeyer holds all property and personal rights over the Service Database, including all related intellectual property rights. You hereby agree not to copy, reproduce, alter, modify, create derivative works, or publicly distribute any of the content of the Service, including Berkemeyer’s Database. All material posted in the webpage, may and shall be revised by Berkemeyer. You may reproduce copies of the material that are of your interest only for informational purposes. When you reproduce copies for yourself or in favor of any other party, the material must cite Berkemeyer as the author. No other uses of the materials in the webpage are allowed. Berkemeyer’s logos, as well as any other logos, products and service names provided by Berkemeyer, are of exclusive property of Berkemeyer. You may not display, use in any way or make commercial or misleading use of the same. 6. INDEMNITY The information posted in this site, consists only in general information, it shall not be considered as legal advice or acceptance of any mandate in any case. Berkemeyer will not be held liable for any damages caused in relation to information or materials posted in the site. You agree to hold Berkemeyer, its shareholders, subsidiaries, affiliates, officers, agents, and employees, harmless from and against any claim or suite, including reasonable attorney`s fees, initiated by any third party or arising out of or in connection with your use of the Service, violation of the TOS or the right of any third party. The Service may provide links (nexus) to third party sites. You acknowledge that Berkemeyer has no control over such sites and Berkemeyer will not be held liable, either directly or indirectly, for any damage or loss caused or related to, the use of or reliance on any content or Service accessible through sites available by Berkemeyer. Berkemeyer does not guarantee the accuracy or the absence of errors of the information, nor will be held liable for claims for damage to or loss resulting from the use of any information posted in the website. 7. LIABILITY LIMITATIONS Berkemeyer will not be held liable for any direct, indirect damage, including, but not limited to, any damages for lost profits, loss of goodwill, use, data or other intangible losses, that result from your use of the Service. The use of the Service is at your sole risk. All material or data downloaded or otherwise obtained throughout use of the Service is performed at your sole discretion and own risk, and you will be solely responsible for any damage or loss that may result from your use of the Service. 8. APPLICABLE LAW AND JURISDICTION The TOS and the hereby relationship between you and Berkemeyer will be governed by the laws of the Republic of the Paraguay. Any dispute or claim that may arise of or in relation to, or in connection with the execution or compliance of these conditions/terms or the use of the Service, including without limiting to, any dispute on the validity, interpretation, enforceability or breach of the abovementioned conditions/terms, will be exclusively and ultimately resolved by the ordinary courts, with residence in the city of Asuncion, Republic of the Paraguay.
